Dangote Petroleum Refinery and Petrochemicals FZE has expanded its $1.6 billion initial public offering – IPO into Egypt as part of an ambitious strategy to attract cross-border investors across the African continent.
The development was confirmed on Thursday, October 15, 2026, by Rehab Sallam, Head of International Relations at the Egyptian Exchange, following high-level strategic engagements between executives of Dangote Industries Limited and the Egyptian bourse.
The discussions aim to establish an Egyptian depositary receipt programme that will allow local investors to gain exposure to shares in the Lagos-based refinery without directly navigating the Nigerian equity market.
This Pan-African capital-raising model represents a major departure from traditional corporate finance trends in Africa, where major conglomerates historically turned to financial hubs in London or New York for equity offerings.
By prioritizing African capital, Dangote Group seeks to deepen regional equity participation, breakdown regulatory market-access barriers, and foster stronger investment ties across different continental financial markets.
The proposed Egyptian framework provides a structured, compliant mechanism for North African investors to participate directly in one of the continent’s largest industrial assets.
Egypt represents the newest node in a expanding network of African capital markets integrated into the refinery’s share sale framework. The company has already established global depositary receipt arrangements in Kenya where the Capital Markets Authority approved a short-form prospectus via Renaissance Capital on October 5, 2026, and in Botswana, where Gaborone was designated to trade $500 million worth of depositary receipts for Southern African investors.
Additionally, Ethiopian capital market regulators have authorized a tailored structure enabling up to 100 qualified local investors to acquire IPO-linked securities.
To accommodate the growing multi-jurisdictional participation and administrative onboarding processes, Dangote Petroleum Refinery recently extended its IPO deadline. With approval from Nigeria’s Securities and Exchange Commission – SEC, the application closing date was moved from October 13 to October 27, 2026.
The two-week extension provides prospective institutional and retail investors across participating nations sufficient time to finalize necessary identity verifications, complete account-opening protocols, and fulfill regulatory compliance requirements.
Initially opened on September 14, 2026, the public offering seeks to raise approximately $1.6 billion through the issuance of 4.1 billion ordinary shares priced at ₦525 per share. The company has also structured an over-allotment option that could potentially expand total proceeds to roughly $2.1 billion.
Targeting up to 10 million individual and institutional investors, the primary objective remains driving widespread retail and institutional ownership throughout Nigeria and the broader African region.
Positioned to rank among the largest public equity offerings in Africa’s history, the Dangote Refinery IPO marks a historic milestone in intra-continental financial integration.
By successfully mobilizing domestic and regional capital across West, East, Southern, and North Africa, the initiative sets a compelling precedent for how major African industrial projects can be financed directly by African investors.
